1. ACCEPTANCE OF TERMS / 接受條款

By accessing or using the Aicademy Cloud Platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind such organization to these Terms.
透過存取或使用 Aicademy 雲端平台（「平台」），您同意受本服務條款（「條款」）約束。如果您代表機構使用平台，您聲明並保證您有權代表該機構接受本條款。

2. DESCRIPTION OF SERVICE / 服務說明

2.1 The Platform provides one-click access to high-performance GPUs and open-source or closed-source AI and computing programs. Aicademy Ltd. ("Aicademy", "we", "us", "our") acts solely as an intermediary service provider.
平台提供一鍵存取高效能 GPU 及開源或閉源 AI 和運算程式。Aicademy Ltd.（「Aicademy」、「我們」）僅作為中介服務提供者。

2.2 The Platform is designed for K-12 educational institutions and their authorized users.
平台專為 K-12 教育機構及其授權用戶設計。

3. USER ACCOUNTS AND REGISTRATION / 用戶帳戶及註冊

3.1 Student Users / 學生用戶

  • Registration via Single Sign-On (SSO) using Google or Microsoft accounts
  • Must use valid invitation codes provided by their educational institution
  • 透過 Google 或 Microsoft 帳戶的單一登入（SSO）註冊
  • 必須使用其教育機構提供的有效邀請碼

3.2 Teacher/Organization Management Users / 教師/機構管理用戶

  • Authorized to create and manage student accounts
  • Responsible for distributing invitation codes
  • 授權創建和管理學生帳戶
  • 負責分發邀請碼

4. PLATFORM USAGE / 平台使用

4.1 Available Services / 可用服務

  • Access to machine templates (generative AI, Python programs, etc.)
  • Generation history for each machine session
  • Personal style and prompt book records
  • 存取機器範本（生成式 AI、Python 程式等）
  • 各機器會話的生成歷史記錄
  • 個人風格和提示詞記錄

4.2 Credit System / 點數系統

  • Usage is deducted based on credits per hour as stated for each machine template
  • Credits are non-transferable and cannot be exchanged for real currency
  • 使用量根據每個機器範本所列的每小時點數從帳戶餘額扣除
  • 點數不可轉讓，不能兌換為貨幣

5. USER RESPONSIBILITIES / 用戶責任

5.1 Content Responsibility / 內容責任

While inappropriate content filters are available, Aicademy does not bear responsibility for any illegal or inappropriate content generated. Users and supervising teachers are responsible for ensuring that all users within their organization adhere to applicable laws and regulations.
雖然提供不當內容過濾器，但 Aicademy 不對任何非法或不當生成內容承擔責任。用戶和監督教師有責任確保其機構內的所有用戶遵守適用法律法規。

5.1.1 Compliance with Hong Kong Laws / 遵守香港法律

Users must strictly comply with all applicable laws and regulations of the Hong Kong Special Administrative Region, including but not limited to:
用戶必須嚴格遵守香港特別行政區所有適用的法律法規，包括但不限於：

  • a) The Basic Law of the Hong Kong Special Administrative Region of the People's Republic of China
    《中華人民共和國香港特別行政區基本法》
  • b) The Law of the People's Republic of China on Safeguarding National Security in the Hong Kong Special Administrative Region
    《中華人民共和國香港特別行政區維護國家安全法》
  • c) Personal Data (Privacy) Ordinance (Cap. 486)
    《個人資料（私隱）條例》（第486章）
  • d) Crimes Ordinance (Cap. 200), including computer-related crimes
    《刑事罪行條例》（第200章），包括電腦相關罪行
  • e) Control of Obscene and Indecent Articles Ordinance (Cap. 390)
    《淫褻及不雅物品管制條例》（第390章）
  • f) Copyright Ordinance (Cap. 528)
    《版權條例》（第528章）

Users are prohibited from using the Platform to generate, store, or distribute any content that:

  • Endangers national security
  • Incites secession, subversion, terrorism, or collusion with foreign forces
  • Violates personal data privacy
  • Infringes intellectual property rights
  • Contains obscene or indecent materials
  • Constitutes any form of computer-related crime
  • 用戶禁止使用平台生成、儲存或分發任何以下內容：
  • 危害國家安全
  • 煽動分裂國家、顛覆國家政權、恐怖活動或勾結外國勢力
  • 違反個人資料私隱的材料
  • 侵犯知識產權
  • 包含淫褻或不雅物品
  • 構成任何形式的電腦相關罪行

Any violation of these laws may result in immediate termination of access, reporting to relevant authorities, and potential legal action.
違反這些法律可能導致立即終止訪問權限、向相關當局舉報以及潛在的法律訴訟。

5.2 Security of Access Codes / 存取碼安全

All invitation codes must be kept private and secure. The responsibility for maintaining the confidentiality of codes lies with the organization. While Aicademy may assist with compromised codes, we do not bear responsibility for unauthorized access resulting from leaked codes.
所有邀請碼必須保密和安全保管。維護代碼機密性的責任在於機構。雖然 Aicademy 可能協助處理洩露的代碼，但我們不對因代碼洩露導致的未經授權存取承擔責任。

5.3 Machine Shutdown / 機器關閉

Users are responsible for properly shutting down machines after use. Credits consumed due to machines left running will not be refunded. All usage records are traceable and verifiable.
用戶有責任在使用後正確關閉機器。因未關閉機器而消耗的點數將不予退還。所有使用記錄均可追溯和驗證。

6. DATA RETENTION AND PRIVACY / 資料保留和隱私

6.1 Content Storage / 內容儲存

All content generated on the Platform will be retained in the cloud for thirty (30) days and may be removed thereafter without further notice.
在平台上生成的所有內容將在雲端保留三十（30）天，之後或將在不另行通知的情況下刪除。

6.2 Usage Records / 使用記錄

The following information is recorded and may be accessed by authorized organization management users:
以下資訊將被記錄並可由授權的機構管理用戶存取：

  • Login IP addresses and locations
  • Machine usage records and duration
  • Generation history
  • Account activity logs
  • 登入 IP 地址和位置
  • 機器使用記錄和持續時間
  • 生成歷史
  • 帳戶活動日誌

7. PROHIBITED CONDUCT / 禁止行為

  • Generate or attempt to generate illegal, harmful, or inappropriate content
  • Share access credentials or invitation codes with unauthorized parties
  • Attempt to circumvent security measures or content filters
  • Use the Platform for any commercial purposes without authorization
  • Violate any applicable laws or regulations
  • 用戶不得：
  • 生成或嘗試生成非法、有害或不當內容
  • 與未授權方分享存取憑證或邀請碼
  • 嘗試規避安全措施或內容過濾器
  • 未經授權將平台用於任何商業目的
  • 違反任何適用法律或法規

8. TERMINATION / 終止

8.1 Aicademy reserves the right to terminate or suspend any user's access to the Platform for any violation of these Terms, without prior notice.
Aicademy 保留因違反本條款而終止或暫停任何用戶存取平台的權利，無需事先通知。

8.2 Upon termination, all unused credits will be forfeited and no refunds will be provided.
終止後，所有未使用的點數將被沒收，且不提供退款。

9. DISCLAIMERS AND LIMITATION OF LIABILITY / 免責聲明和責任限制

9.1 THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
平台以「現狀」提供，不提供任何明示或暗示的保證。

9.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, AICADEMY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.
在法律允許的最大範圍內，Aicademy 對因您使用平台而產生或相關的任何間接、附帶、特殊、後果性或懲罰性損害不承擔責任。

10. DISPUTE RESOLUTION / 爭議解決

10.1 Any disputes arising from or relating to these Terms or the use of the Platform shall be resolved through good faith negotiations.
因本條款或使用平台而產生或相關的任何爭議應通過善意協商解決。

10.2 In the event that negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
如協商未果，所有爭議應提交香港特別行政區法院專屬管轄。

11. GOVERNING LAW / 管轄法律

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
本條款應受香港特別行政區法律管轄並據其解釋。

12. AMENDMENTS / 修訂

12.1 Aicademy reserves the right to update these Terms at any time. Users will be notified of any material changes.
Aicademy 保留隨時更新本條款的權利。任何重大變更將通知用戶。

12.2 Continued use of the Platform after amendments constitutes acceptance of the updated Terms.
在修訂後繼續使用平台即構成接受更新的條款。

13. LANGUAGE / 語言

In the event of any discrepancy between the English and Chinese versions of these Terms, the English version shall prevail.
如本條款的英文版本與中文版本之間存在任何差異，應以英文版本為準。
